In the current climate of increasing corporate governance, every Maltese company, large or small, must meet statutory compliance requirements. Maltese companies, excluding those registered under the Merchant Shipping Act, must appoint a company secretary, and by law, the directors must appoint a person who has knowledge of local company law. In Malta you may also appoint a legal person as company secretary, as long as that person is duly registered under the Company Service Providers Act.

Private companies in Malta must have a minimum of one director, of which the responsibilities include ensuring that Malta-based companies are in compliance with Maltese law and regulations, including but not limited to the Companies Act, the Income Tax Act and the Income Tax Management Act, and, where applicable, with the Remote Gaming Regulations, the Virtual Financial Assets Act and the Innovative Technology & Services Act and all subsidiary legislation.
